Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Boombiz, the all-in-one business operating system for Nigerian SMEs available at getboombiz.com and any related apps, dashboards, storefronts, APIs, and services (collectively, the “Service”). Boombiz is operated by Digital Orca Limited, a company registered in Nigeria (“Boombiz”, “we”, “us”, “our”).
By creating an account, clicking “I agree”, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Definitions
- Merchant — the business or individual that registers a Boombiz account to sell goods or services.
- You — the Merchant and any authorised staff user accessing the Service on the Merchant’s behalf.
- Storefront — the public-facing website, product pages, checkout, and any custom domain or subdomain Boombiz hosts for the Merchant (e.g.
yourstore.getboombiz.com,yourstore.com.ng). - Shopper — an end customer who visits a Merchant’s Storefront or buys through it.
- Merchant Data — the products, customers, orders, expenses, content, branding, and any other information you upload, generate, or collect through the Service.
2. Eligibility & account registration
To use the Service you must be at least 18 years old, capable of forming a binding contract, and operating a lawful business. You agree to provide accurate, current, and complete information during registration and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that happens under your account, including activity by staff users you invite. 3. Plans, fees & auto-renewal
Boombiz is offered as a subscription with Starter, Pro, and Premium plans, plus time-limited promotional offers (e.g. the free 2-week launch trial). Plan inclusions, limits (staff seats, locations, messaging credits, storage, etc.), and prices are shown on our pricing page and may be updated from time to time.
- Billing cycles. You may subscribe on a Quarterly, Biannual, or Annual cycle. Fees for each cycle are charged in advance.
- Auto-renewal. Subscriptions renew automatically at the end of each cycle at the then-current price for your plan unless you cancel before the renewal date. By subscribing you authorise us (and our payment processors) to charge your saved payment method for each renewal.
- Cancellation. You can cancel auto-renewal at any time from your dashboard. Cancellation takes effect at the end of your current paid cycle — you keep access until then.
- Taxes. Fees are exclusive of any applicable taxes (e.g. VAT). Where we are required to collect tax, it will be added to your invoice.
- Price changes. We may change Service prices on at least 30 days’ notice by email. Changes take effect at your next renewal.
4. Refunds
Except where required by applicable law, subscription fees are non-refundable, including for partial periods, downgrades, or features you did not use. Disputed payments and good-faith refund requests are reviewed case by case — contact [email protected].
5. Trial offers
From time to time we offer paid or free trials (such as the free 2-week launch trial). Trials give you access to a defined plan for a limited period. Unless the trial page states otherwise, your trial will convert to a paid subscription on the plan you selected at the end of the trial period using your saved payment method. Cancel before the trial ends if you do not want to be charged.
6. Free .com.ng domain (annual Pro & Premium)
Annual Pro and Premium Merchants are eligible for one free .com.ng domain, registered in the Merchant’s name through a NiRA-accredited registrar. Boombiz pays the registration and renewal fees while the Merchant remains on a qualifying annual plan. If you downgrade, cancel, or fail to renew an annual plan, a 30-day grace period applies, after which Boombiz may stop paying renewals and the domain may lapse unless you transfer it to your own registrar account. You may take ownership and transfer your domain at any time from the dashboard.
7. Custom domains, SSL & uptime
You may connect your own domain to your Storefront or buy one through Boombiz. We provision SSL certificates automatically. We aim for high availability but do not guarantee uninterrupted Service — planned maintenance, third-party outages (DNS, payments, hosting), and force-majeure events may cause downtime.
8. Ownership of Merchant Data & license to Boombiz
You retain all rights to your Merchant Data. You grant Boombiz a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, and process Merchant Data solely to provide and improve the Service, including hosting your Storefront, processing orders, sending messages on your behalf, generating reports, and providing support. The licence ends when you delete the data or close your account, except for backups retained for a reasonable period and records we are required by law to keep.
9. Your responsibilities as a Merchant
You are solely responsible for your business, your Storefront, the products and services you sell, your customer relationships, and your compliance with applicable laws. In particular you agree that:
- All product descriptions, prices, stock levels, images, and policies displayed on your Storefront are accurate and not misleading.
- You will fulfil orders as advertised, handle returns and refunds in line with your stated policy and applicable consumer law, and keep customer service responses timely.
- You will comply with the Nigeria Data Protection Act / NDPR and any other privacy laws that apply to you. You are the data controller for Shopper data collected through your Storefront, and Boombiz processes that data on your behalf. You will publish and honour your own privacy policy and obtain any consents required for marketing messages.
- You will pay any taxes, duties, levies, and licence fees that apply to your business and to the goods or services you sell.
- You will only send marketing SMS, email, or WhatsApp messages through Boombiz to recipients who have given you the consents required by law.
10. Acceptable use
You will not, and will not allow any third party to:
- Use the Service to sell, promote, or distribute goods or services that are illegal in Nigeria or in the buyer’s jurisdiction, including but not limited to: regulated drugs without a licence, weapons or ammunition, counterfeit or pirated goods, stolen property, sexually explicit content, child sexual abuse material, human trafficking-related services, hate-speech goods, unlicensed financial or investment products, fake credentials, malware, or anything that infringes another person’s intellectual property.
- Use the Service for fraud, money laundering, terrorist financing, sanctions evasion, deceptive marketing, fake reviews, or chargeback abuse.
- Send unsolicited bulk messages (spam), harvest contact details without consent, or violate any applicable telecommunications/marketing regulation.
- Interfere with or disrupt the Service, attempt to gain unauthorised access to other accounts or systems, probe or scan for vulnerabilities, or bypass rate limits and security controls.
- Reverse-engineer, decompile, scrape, or copy the Service, except where the law expressly permits it.
- Resell, sublicense, or white-label the Service to third parties without our written agreement.
We may investigate suspected violations and may suspend or terminate accounts that breach this section.
11. Payments & third-party processors
Boombiz integrates with payment processors such as Paystack and Flutterwave to take payments from your Shoppers (card, transfer, USSD, QR), and to collect your subscription fees. Those processors have their own terms and privacy policies, which apply to your use of their services. Boombiz is not a bank, payment processor, or money transmitter, and Boombiz does not store full card numbers.
Payouts from Shopper payments are made by the relevant processor directly to your settlement account. You are responsible for any fees, holds, reserves, chargebacks, or reversals imposed by the processor.
12. AI-powered features
Some features — including the AI Product Description Writer and the WhatsApp AI Assistant — use third-party AI models. AI output is generated automatically and may be inaccurate, incomplete, or unsuitable for your use case. You are responsible for reviewing and editing any AI-generated content before publishing or sending it to Shoppers. You must not use AI features to generate unlawful, deceptive, defamatory, or rights-infringing content. AI providers may apply their own usage policies, which you agree to comply with when using AI features through Boombiz.
13. Third-party integrations
The Service can be connected to third-party tools (e.g. Google Analytics, Facebook Pixel, WhatsApp, payment processors, logistics partners, domain registrars). Your use of those tools is governed by their own terms. Boombiz is not responsible for the availability, accuracy, or security of any third-party service, and we may add, change, or remove integrations at any time.
14. Intellectual property
Boombiz, including the dashboard, storefront engine, themes, code, name, logo, and documentation, is the property of Digital Orca Limited and its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Service in line with these Terms. All rights not expressly granted are reserved. You may not remove or alter any Boombiz branding or copyright notices except where the Service expressly allows it (e.g. custom logos on your Storefront).
You agree that anonymised, aggregated metrics derived from your use of the Service may be used by Boombiz to operate, secure, and improve the platform.
15. Feedback
If you send us ideas, suggestions, or feedback about the Service, you grant Boombiz a perpetual, royalty-free, worldwide licence to use them without obligation to you.
16. Suspension & termination
We may suspend or terminate your account, with or without notice, if we reasonably believe you have breached these Terms, if your account is used for fraud or illegal activity, if your payment fails or is reversed, or if continued provision of the Service to you would expose Boombiz or other users to legal, security, or reputational risk. You may stop using the Service and close your account at any time from the dashboard or by emailing [email protected].
On termination, your right to access the Service ends, your Storefront may go offline, and we may delete your Merchant Data after a reasonable retention window, subject to legal retention requirements. You can export key data (products, customers, orders) from the dashboard before closing your account.
17. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. Boombiz does not warrant that the Service will be error-free, that defects will be corrected, or that any specific business result (sales, revenue, traffic) will be achieved.
18. Limitation of liability
To the maximum extent permitted by law, Boombiz, Digital Orca Limited, and our directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with the Service or these Terms, whether in contract, tort, or otherwise, even if advised of the possibility of such damages.
Our total aggregate liability to you for all claims arising from or relating to the Service in any 12-month period will not exceed the greater of (a) the subscription fees you paid Boombiz in the 12 months immediately before the event giving rise to the claim, or (b) ₦50,000.
Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded under applicable law.
19. Indemnification
You agree to defend, indemnify, and hold harmless Boombiz, Digital Orca Limited, and our directors, employees, agents, and suppliers from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your Merchant Data or Storefront content; (b) the products or services you sell; (c) your breach of these Terms or any applicable law; or (d) your infringement of any third party’s rights.
20. Changes to the Service and to these Terms
We are continually improving the Service and may add, change, or remove features at our discretion. We may update these Terms from time to time. If we make a material change we will give you reasonable notice by email or through the dashboard. Continued use of the Service after a change takes effect constitutes your acceptance of the updated Terms.
21. Governing law & dispute resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute that cannot be resolved amicably will be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria, except that either party may seek urgent injunctive relief in any court of competent jurisdiction.
22. Miscellaneous
- Entire agreement. These Terms and the documents referenced in them (including our Privacy Policy) make up the entire agreement between you and Boombiz regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions stay in effect.
- No waiver. A failure to enforce any part of these Terms is not a waiver of the right to do so later.
- Assignment. You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Notices. We may send notices to the email address on file for your account, or post them in the dashboard. You can send notices to us at [email protected].
